Điều khoản sử dụng dịch vụ G Suite bởi Việt Nis (Pupam)

Nội dung của Bản Điều khoản sử dụng dịch vụ G Suite dưới đây (“Bản Điều Khoản”) cùng với Hợp đồng Đăng ký và sử dụng dịch vụ G Suite (“Hợp đồng”) mà Khách hàng đã ký, Xác nhận chấp thuận cung cấp dịch vụ của Việt NIS tạo thành một bản Hợp đồng hoàn chỉnh giữa Việt NIS và Khách hàng. Bằng việc ký vào Hợp đồng, Việt NIS và Khách hàng cam kết tuân thủ các điều khoản và sử dụng dịch vụ G Suite của Việt NIS, trong Bản Điều khoản này.

Nội dung bên dưới được đề cập với bên A là khách hàng và bên B là Việt Nis

ĐIỀU 1: NỘI DUNG CUNG CẤP DỊCH VỤ

(ARTICLE 1: SERVICES DESCRIPTION)

Bên B cung cấp dịch vụ cho Bên A với các khoản mục, số lượng, kinh phí như sau:
(Party B provide services to Party A with the items, quantities and budget as follows)
    1. Dịch vụ cung cấp (Services offered)
    ★ Thiết lập tài khoản G Suite (Set up a G Suite account)
    ★ Tư vấn và hỗ trợ sử dụng G Suite (Advice and support using G Suite)
    ★ Hỗ trợ giải quyết các vấn đề kỹ thuật cùng với kỹ thuật viên của Google
    (Support resolve technical issues with Google technician)
    ★ Hỗ trợ giải quyết các khiếu nại với Google trong quá trình sử dụng G Suite
    (Support resolve complaints with Google during the G Suite)
    1. Thông tin kỹ thuật gói dịch vụ G Suite cung cấp
(Technical information package G Suite service provider)
  • Quyền truy cập tất cả các dịch vụ G Suite hỗ trợ cho mỗi người dùng
    (Access all G Suite Services for each user)
  • Dung lượng 30 GB cho tất cả các dịch vụ cần lưu trữ (30GB for each users)
  • Cam kết Uptime 99,9%. (99.9% Uptime commitment)
  • Giới hạn mail gởi: 2000 người nhận/ngày (Limit mails sent: 2000 recipients/day)
  • Giới hạn dung lượng file đính kèm: 25 MB (Limit attachment size: 25 MB)

ĐIỀU 2: PHÍ VÀ ĐIỀU KHOẢN THANH TOÁN (ARTICLE 2: FEES AND TERMS OF PAYMENT)
2.1 Phí dịch vụ (Service fee)
Phí dịch vụ được đề cập cụ thể theo từng Hóa đơn dịch vụ do bên B cấp phát theo số lần phát sinh của bên A. Hóa đơn dịch vụ là một phần không thể tách rời của hợp đồng.
Service fee is specifically mentioned according to each service invoice issued by Party B according to the number of arising of Party A. Service Invoice is an integral part of the contract.
Trong trường hợp nhu cầu sử dụng nhiều hơn số lượng mà bên A đã đăng ký và thanh toán. Bên A có trách nhiệm thanh toán cho bên B trong vòng 7 ngày kể từ khi phát hành.
(In case the demand uses more than the amount that Party A has registered and paid. Party A shall pay Party B within 7 days from the date of issuance.)
Phí được đề cập trong hóa đơn dịch vụ đầu tiên của chu kỳ hợp đồng được áp dụng cho đến khi có sự thay đổi về chính sách phí của Google và tỉ giá VNĐ/USD. Trong trường hợp có sự thay đổi về chính sách phí bên B sẽ thông tin cho bên A khi nhận được thông báo của Google. 
(The fee mentioned in the first Service Invoice of the contract cycle is applied until there is a change in Google's fee policy and VND / USD exchange rate. In case of any change in Party B's fee policy, Party A will inform Party A when receiving a notice from Google.)
2.2 Phương thức thanh toán (Payment method)
Bên A thực hiện ký kết hợp đồng, gửi về địa chỉ giao dịch bên B và tiến hành thanh toán cho Bên B theo nội dung nêu trên hợp đồng trong vòng 05 ngày làm việc kể từ ngày ký hợp đồng. Khi nhận được thanh toán và hợp đồng Bên B cung cấp hóa đơn điện tử hợp lệ cùng với hợp đồng cho bên A.
 (Party A signing the contract and send it to party B and make the payment follow content of contract in five workdays. When receive contract and payment, Party B send  valid invoice and contract to party A.)
ĐIỀU 3: TRÁCH NHIỆM BÊN A (ARTICLE 3: RESPONSIBILITIES OF PARTY A)
3.1 Cung cấp đầy đủ thông tin liên quan đến việc khởi tạo dịch vụ G Suite cho Bên B trong vòng 03 (ba) ngày làm việc kể từ ngày Hợp đồng ký kết để Bên B tiến hành khởi tạo/chuyển đổi.
 (Provide sufficient information as requested by Party B within 03 (three) working days from the date of contract signing to Party B carry out the contract)
3.2 Chịu trách nhiệm về nội dung thông tin đưa lên hệ thống G Suite, đảm bảo các thông tin này không chứa các phần mềm phá hoại và không trái với đạo đức xã hội.
(Responsible for the content of information posted on the G Suite system, ensure that information does not contain malicious software and is not contrary to social morality.)
3.3 Không sử dụng dịch vụ của Bên B cung cấp cho mục đích SpamMail(gửi thư rác). Trường hợp Bên A vi phạm, Bên A hoàn toàn tự mình chịu trách nhiệm. 
(Do not use the services provided by Party B for the SpamMail purpose (spammers).)
3.4 Có trách nhiệm bảo mật quyền đăng nhập vào Hệ thống quản trị email tại máy trạm(Outlook, Thunderbird,...), tài khoản email( tài khoản email của người sử dụng), các tài khoản group mail do Bên B cấp để đảm bảo tính bảo mật cho tổ chức. Trường hợp bên A sử dụng hoặc cung cấp cho bên thứ ba (ngoài hợp đồng này) quyền đăng nhập vào hệ thống để thực hiện các hành vi vi phạm pháp luật thì Bên A hoàn toàn chịu trách nhiệm.
(Security shall have the right to log into the system administrator in client email (Outlook, Thunderbird, ...), e-mail accounts (e-mail accounts of the user), the mail account provided by Party B-level group to ensure the security of the organization. Where the A used or provided to third parties (other than this Agreement) right to log into the system to perform legal acts, Party A totally responsible.)
3.5 Chịu trách nhiệm quản lý nội dung các thư điện tử được gửi đi từ hộp thư trong tài khoản của Bên A.
(Responsible for managing the content of email messages sent from the mailbox in the account of Party A.)
3.6 Tuân thủ theo đúng các quy định của Nhà nước về sử dụng dịch vụ Internet, quyền sở hữu công nghiệp, bản quyền phần mềm cài đặt trên máy tính để sử dụng mail( nếu có), bí mật quốc gia, an ninh, văn hóa.
(Compliance with the provisions of the State on the use of Internet services, industrial property rights, copyright software installed on your computer to use the mail (if available), state secrets, security, document chemistry.)
3.7 Thanh toán đầy đủ và đúng hạn các khoản đã được nêu trong Điều 1 và Điều 2 của Hợp đồng này sau khi nghiệm thu dịch vụ.
(Payment in full and on time the amounts stated in Article 1 and Article 2 of this contract after the service inspectation.)
3.8 Đảm bảo người đại diện ký hợp đồng này là người có quyền hoặc đã được ủy quyền của Bên A để ký hợp đồng, chứng từ.
(Ensuring representatives to sign this contract shall have the right or have been authorized by Party A to a contract, document.)
3.9 Trong trường hợp bên A thanh toán không thanh toán đúng hạn nêu trên, bên A sẽ chịu trách nhiệm về phần phí nợ quá hạn được quy định tại Điều 306 Luật Thương mại năm 2005 tương đương 2%/tháng/nợ chưa thanh toán.
(In case Party A does not make the payment intime, party A have to pay additional overdue fee 2%/month/ unpaid fee.)

ĐIỀU 4: TRÁCH NHIỆM CỦA BÊN B (ARTICLE 4: RESPONSIBILITIES OF PARTY B)
4.1 Cung cấp dịch vụ theo đúng nội dung đã thoả thuận tại Điều 1 của Hợp đồng này và bảo đảm chất lượng dịch vụ theo đúng các quy định về người dùng của Google theo thỏa thuận về điều khoản cung cấp dịch vụ giữa bên B và Google theo nội dung được đề cập ở liên kết trong thời gian 3 ngày sau khi ký kết:
(Provide services in accordance with the agreed contents of Article 1 of this Agreement and ensuring quality of service in accordance with the provisions of Google's users as agreed in the terms provided service between the B and Google by content mentioned link in 3 business day after contract signed.)

4.2 Cung cấp hóa đơn tài chính sau khi bên A thanh toán theo thời gian cung cấp dịch vụ và kỳ hạn thu phí đã ghi tại mục 1.4 và 1.5 điều 1 của hợp đồng này.
(Provide invoice after party A make the payment follow Contract Term and Period of Payment as written in section 1.4 and 1.5 of article 1 of this contract)
4.3 Hướng dẫn Bên A thực hiện đúng quy trình khai thác dịch vụ và các quy định pháp luật hiện hành.
(Party A guide Party B to comply using the services by the current legal provisions.)
4.4 Tuân thủ các quy định pháp luật về quyền sở hữu công nghiệp, bản quyền.
(Compliance with legislation on industrial property rights and copyrights.)
4.5 Cam kết không tiết lộ bất kỳ thông tin về tài khoản của bên A trong bất kỳ trường hợp hay mục đích nào.
(Undertake not to disclose any information about the account of Party A in any case or any purpose.)
4.6 Hỗ trợ kỹ thuật: Công ty TNHH MTV Việt Nis - Hotline 19001254, Email hỗ trợ: support@vietnis.com. Khi gặp các vấn đề cần hỗ trợ về kỹ thuật Bên A có thể gọi điện hoặc gửi email cho Bên B:
(Technical Support: Viet NIS Co, Ltd – Hotline 19001254, Support through email: support@vietnis.com. The problem that customer need technical assistance, party A can call directly or send email to party B follow:
4.6.1 Đối với các vấn đề hỗ trợ kỹ thuật mang tính chất cá nhân không thuộc hệ thống G Suite: Bên B sẽ hỗ trợ sớm nhất trong điều kiện cho phép.
(With the technical problem relate to personal which not in G Suite services: party B will support as soon as possible depending on time and that problem)
4.6.2 Đối với các vấn đề hỗ trợ kỹ thuật thuộc hệ thống G Suite: Bên B sẽ đưa ra phương án cụ thể cho Bên A và tiến hành giải quyết khi nhận được thông tin yêu cầu hỗ trợ.
(With the technical problem relate to G Suite services: Party B will provide the specific solution for party A and proceed when part B receive the information)

ĐIỀU 5: TẠM NGỪNG DỊCH VỤ VÀ ĐƠN PHƯƠNG CHẤM DỨT HỢP ĐỒNG
(ARTICLE 5: SUSPEND THE SERVICE AND UNILATERAL TERMINATION OF CONTRACT)
5.1 Dịch vụ được tạm ngừng trong các trường hợp sau:
(Service is suspended in the following cases)
5.1.1 Khi nhận được yêu cầu bằng văn bản của Bên A. 
(Upon receiving a request in writing by Party A. )
5.1.2 Bên A  vi phạm các điều  khoản đã cam kết trong Hợp đồng.
(Party A violate the terms of the contract commitment)
5.1.3 Bên A dùng email vào bất kì mục đích/hình thức nào trái với quy định của pháp luật Việt Nam.
(Party A to any email user purpose/way to the provisions of the law of Vietnam.)
5.1.4 Bên A lưu trữ, truyền bá các dữ liệu cấu thành hoặc khuyến khích các hình thức phạm tội; hoặc các dữ liệu mang tính vi phạm luật sáng chế, nhãn hiệu, quyền thiết kế, bản quyền hay bất kì quyền sở hữu trí tuệ hoặc bất kỳ quy định nào khác của pháp luật.
(Party A store, transmit the data constituting or encouraging forms of crime; identifiable data or violate patent law, trademark, design right, copyright or any intellectual property rights or any other provision of law.)
5.1.5 Bên A sử dụng email của mình để gửi thư rác. (Party A to use your email to spammers.)
5.1.6 Bên A không thanh toán các chi phí đầy đủ và đúng hạn theo quy định tại điều 2 Hợp đồng này.
(Party A fails to pay the full cost and on time as stipulated in Article 1 and Article 2 of this contract)
5.1.7 Trường hợp có yêu cầu của cơ quan Nhà nước có thẩm quyền; hoặc trường hợp Bất khả kháng theo quy định tại Điều 6 dưới đây. Trường hợp này, Bên B không có trách nhiệm thông báo trước cho Bên A.
(Where the request of the State agency authorized; or the case of force majeure as defined in Article 6 below. In this case, Party B has no responsibility prior notice to Party A.)
5.2 Bên B không có trách nhiệm thông báo cho Bên A và Bên A phải thanh toán phí thuê bao dịch vụ trong thời gian tạm ngừng dịch vụ theo quy định tại điều 5.1.2, điều 5.1.3, điều 5.1.4, điều 5.1.5, và điều 5.1.6 của Hợp đồng này. Dịch vụ chỉ được Bên B mở lại sau khi Bên A chấm dứt việc vi phạm các điều khoản quy định trong Hợp đồng này và nộp đầy đủ các khoản phí phát sinh do việc vi phạm.
(Party B has no responsibility to inform Party A and Party A must pay the subscription fee during the service suspension of service as stipulated in Article 5.1.2, which 5.1.3, which 5.1.4, clause 5.1 .5, and 5.1.6 of this Agreement. Services reopen only after Party B Party A cease violating the terms specified in this Agreement and fully pay charges arising out of the breach.)
5.3. Nếu hết thời hạn hợp đồng nêu trên mà hai Bên A không thông báo về việc chấm dứt hợp đồng thì hợp đồng tự động được gia hạn cho những năm tiếp theo.
(When contract expire, if party A do not announce about end of contract, contract will automatically renew)
5.4. Hợp đồng sẽ được chấm dứt khi: ( Contract will end if:)
5.4.1. Hai bên thỏa thuận chấm dứt hợp đồng. ( Two party agree to end contract)
5.4.2. Một bên vi phạm một hay nhiều điều khoản của hợp đồng. ( One party violates the terms of contract)
5.4.3. Cơ quan chức năng có thẩm quyền yêu cầu. ( Request of state agencies)
5.4.4. Việc chấm dứt hợp đồng phải được thực hiện bằng văn bản và trong vòng mười lăm (15) ngày, sau đó, Hai Bên phải thực hiện đầy đủ mọi trách nhiệm còn thiếu. ( The termination of contract must made in writing and finish in 15 days, after that, two party have to finish all the responsibility)
5.5. Hợp đồng chỉ được thanh lý sau khi hai bên đã thực hiện đầy đủ mọi trách nhiệm và ký biên bản thanh lý hợp đồng. (Contract only terminate when two party finish all the responsibility and sign the liquidation paper)

ĐIỀU 6: BẤT KHẢ KHÁNG (ARTICLE 6: MAJEURE)
6.1 Nếu một trong hai Bên chịu ảnh hưởng của các sự kiện bất khả kháng (như: thiên tai, địch họa, lũ lụt, bão, hoả hoạn, động đất hoặc các hiểm họa thiên tai khác; hoặc việc đình công hay can thiệp của Nhà nước; hay bất kỳ sự kiện nào khác xảy ra ngoài tầm kiểm soát của bất kỳ Bên nào và không thể lường trước được), thì được tạm hoãn thực hiện nghĩa vụ của hợp đồng, với điều kiện là Bên bị ảnh hưởng đó đã áp dụng mọi biện pháp cần thiết và có thể để ngăn ngừa, hạn chế hoặc khắc phục hậu quả của sự kiện đó.
(If either party affected by the event of force majeure (such as natural disasters, enemy sabotage, floods, storms, fires, earthquakes or other natural hazards; or strikes or intervention State, or any other events occurring outside the control of any Party and not foreseeable), then the postponed implementation of contractual obligations, on the condition that it affected Party applying all measures necessary and possible to prevent, limit or remedy the consequences of such events.)
6.2 Bên bị ảnh hưởng bới sự kiện bất khả kháng có nghĩa vụ thông báo cho bên còn. Trong trường hợp sự kiện bất khả kháng xảy ra, các Bên được miễn trách nhiệm bồi thường thiệt hại. 
(Parties affected by the force majeure event has the obligation to notify the other party. In case of force majeure event occurs, the party is exempt from liability to pay damages.)
6.3 Nếu sự kiện bất khả kháng không chấm dứt trong vòng 40 (bốn mươi) ngày làm việc hoặc một khoảng thời gian lâu hơn và vẫn tiếp tục ảnh hướng đến việc thực hiện Hợp đồng thì bên nào cũng có quyền đơn phương chấm dứt Hợp đồng và thông báo cho bên còn lại bằng văn bản trong vòng 10 (mười) ngày làm việc kể từ ngày dự định chấm dứt.
(If the event of force majeure does not terminate within 40 (forty) working days or a longer period of time and continue to affect the performance of the contract, the parties have the right to unilaterally terminate the contract and notify the other party in writing within 10 (ten) business days from the date of intended termination.)
6.4 Khi sự kiện bất khả kháng chấm dứt, các Bên sẽ tiếp tục thực hiện Hợp đồng nếu việc tiếp tục thực hiện Hợp đồng là có thể được.
(As events of force majeure termination, the parties shall continue to perform the contract if the continued implementation of the contract is possible.)
6.5 Khi Google chấm dứt dịch vụ đang cung cấp hoặc yêu cầu thanh toán.
(When Google terminate the service is provided or required payments.)

ĐIỀU 7: THỜI HẠN HỢP ĐỒNG (ARTICLE 7: DURATION OF CONTRACT)
7.1 Hợp đồng này có hiệu lực kể từ ngày ký và có thời hạn bằng với thời hạn cung cấp dịch vụ mục 1.4 điều 1 của hợp đồng này.
(The contract takes effect from the signing date and have the same duration with the time offer services in section 1.4 of article 1 of this contract)
7.2 Hợp đồng tiếp tục gia hạn khi bên A có nhu cầu và bên B vẫn có khả năng cung cấp dịch vụ. Trong vòng 10 ngày kể từ ngày hết hạn, bên A thanh toán cho bên B phí dịch vụ của kỳ tiếp theo sau khi hai bên thống nhất gia hạn hợp đồng.
( The contract automatic renew follow the need of party A and party till capable of provide the services. In 10 days of business from the expiration day, party A make the payment for party B the fees of services after the unification of both party to sign a renew contract)
7.3 Hợp đồng tự động thanh lý trong trường hợp hết hạn hiệu lực và bên A không tiếp tục sử dụng dịch vụ của bên B.
(The contract automatic liquidation in case contract expired and party A do not continue to use the services of party B)

ĐIỀU 8: ĐIỀU KHOẢN CHUNG (ARTICLE 8: GENERAL PROVISIONS)
    1. Hai Bên cam kết thực hiện đúng các điều khoản của Hợp đồng, Bên nào vi phạm sẽ phải chịu trách nhiệm theo quy định tại Hợp đồng và pháp luật.
(The two parties undertake to comply with the terms of contract, violating party shall be liable under the provisions of the contract and the law.)
    1. Trường hợp một Bên muốn thay đổi bất kỳ nội dung nào của Hợp đồng phải thông báo bằng văn bản cho Bên còn lại ít nhất trước 15 (mười lăm) ngày làm việc. Nếu Hai Bên thống nhất được nội dung thay đổi thì các thay đổi phải được lập bằng văn bản và được ký, đóng dấu hợp pháp của hai bên. Mọi chi phí phát sinh liên quan đến việc thay đổi nội dung Hợp đồng do Bên nào thì Bên đó có trách nhiệm thanh toán.
(Where Party A wishes to change any of the content of the contract must be notified in writing to the other party at least up to 15 (fifteen) working days. If the two sides agree on the content changes, the changes must be made ​​in writing and be signed and sealed by both parties legally. All expenses incurred in relation to the changing content of the contract by the Party that Party responsible for payment.)
    1. Mọi tranh chấp phát sinh trong quá trình thực hiện Hợp đồng này (nếu có) sẽ được Hai Bên thương lượng giải quyết trên tinh thần hợp tác, tôn trọng lẫn nhau. Trường hợp Hai Bên không thống nhất, Bên bị vi phạm có quyền khởi kiện ra Tòa án, phán quyết của Tòa án là quyết định cuối cùng buộc Các Bên phải chấp hành.
(All disputes arising during the implementation of this Agreement (if any) will be two sides negotiated settlement in a spirit of cooperation and mutual respect Where the two sides disagree, aggrieved party may initiate court proceedings, the court ruling is final and binding decision to abide by the Parties.)
    1. Các phụ lục từ 01 đến 04 là các văn bản số do Google cung cấp qua các liên kết cố định. Sẽ được thông báo cho cả 02 bên nếu có sự thay đổi.
(Appendix 01 to 04 is the text number provided by Google through the fixed link. Will be notified to all 02 parties if there is a change.)

G Suite via Reseller (Pupam) Agreement

This G Suite via Reseller Agreement (the "Agreement") is entered into by and between Google Inc., a Delaware corporation, with offices at 1600 Amphitheatre Parkway, Mountain View, California 94043 ("Google") and the entity agreeing to these terms ("Customer"). This Agreement is effective as of the date Customer clicks the "I Accept" button below (the "Effective Date"). If you are accepting on behalf of Customer, you represent and warrant that: (i) you have full legal authority to bind your employer, or the applicable entity, to these terms and conditions; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of the party that you represent, to this Agreement. If you do not have the legal authority to bind Customer, please do not click the "I Accept" button below. This Agreement governs Customer's access to and use of the Service.
  1. Services.
    • 1.1. Facilities and Data Transfer. All facilities used to store and process Customer Data will adhere to reasonable security standards no less protective than the security standards at facilities where Google stores and processes its own information of a similar type. Google has implemented at least industry standard systems and procedures to ensure the security and confidentiality of Customer Data, protect against anticipated threats or hazards to the security or integrity of Customer Data, and protect against unauthorized access to or use of Customer Data. As part of providing the Services, Google may transfer, store and process Customer Data in the United States or any other country in which Google or its agents maintain facilities. By using the Services, Customer consents to this transfer, processing and storage of Customer Data.
    • 1.2. Modifications.
      • a. To the Services. Google may make commercially reasonable changes to the Services, from time to time. If Google makes a material change to the Services, Google will inform Customer, provided that Customer has subscribed with Google to be informed about such change.
      • b. To URL Terms. Google may make commercially reasonable changes to the URL Terms from time to time. If Google makes a material change to the URL Terms, Google will inform Customer by either sending an email to the Notification Email Address or alerting Customer via the Admin Console, or will alert Reseller. If the change has a material adverse impact on Customer and Customer does not agree to the change, Customer must so notify Google via the Help Center within thirty days after receiving notice of the change. If Customer notifies Google as required, or Reseller notifies Google on Customer's behalf, then Customer will remain governed by the terms in effect immediately prior to the change until the end of the then-current term for the affected Services. If the affected Services are renewed, they will be renewed under Google's then current URL Terms.
    • 1.3. Customer Domain Name Ownership. Prior to providing the Services, Google or Reseller may verify that Customer owns or controls the Customer Domain Names. If Customer does not own, or control, the Customer Domain Names, then Google will have no obligation to provide Customer with the Services.
  2. Customer Obligations.
    • 2.1 Compliance. Customer will use the Services in accordance with the Acceptable Use Policy. Google may make new applications, features or functionality for the Services available from time to time, the use of which may be contingent upon Customer’s agreement to additional terms. In addition, Google will make other Non-G Suite Products (beyond the Services) available to Customer and its End Users in accordance with the Non-G Suite Product Terms and the applicable product-specific Google terms of service. If Customer does not desire to enable any of the Non-G Suite Products, Customer can enable or disable them at any time through the Admin Console. Customer agrees that its use of the Domain Service is subject to its compliance with the Domain Service Terms.
    • 2.2 Customer Administration of the Services. Customer may specify one or more Administrators through the Admin Console who will have the rights to access Admin Account(s) and to administer the End User Accounts. Customer and Reseller are responsible for: (a) maintaining the confidentiality of the password and Admin Account(s); (b) designating those individuals who are authorized to access the Admin Account(s); and (c) ensuring that all activities that occur in connection with the Admin Account(s) comply with the Agreement. Customer agrees that Google's responsibilities do not extend to the internal management or administration of the Services for Customer and that Google is merely a data-processor.
    • 2.3 End User Consent. Customer's Administrators may have the ability to access, monitor, use, or disclose data available to End Users within the End User Accounts. Customer will obtain and maintain all required consents from End Users to allow: (i) Customer's access, monitoring, use and disclosure of this data and Google providing Customer with the ability to do so, and (ii) Google to provide the Services.
    • 2.4 Unauthorized Use. Customer will use commercially reasonable efforts to prevent unauthorized use of the Services, and to terminate any unauthorized use. Customer or Reseller will promptly notify Google of any unauthorized use of, or access to, the Services of which it becomes aware.
    • 2.5 Restrictions on Use. Unless Google specifically agrees in writing, Customer will not, and will use commercially reasonable efforts to make sure a third party does not: (a) sell, resell, lease, or the functional equivalent, the Services to a third party(unless expressly authorized in this Agreement); (b) attempt to reverse engineer the Services or any component; (c) attempt to create a substitute or similar service through use of, or access to, the Services; (d) use the Services for High Risk Activities; or (e) use the Services to store or transfer any Customer Data that is controlled for export under Export Control Laws. Customer is solely responsible for any applicable compliance with HIPAA.
    • 2.6 Third Party Requests. Customer is responsible for responding to Third Party Requests. Google will, to the extent allowed by law and by the terms of the Third Party Request: (a) promptly notify Customer of its receipt of a Third Party Request; (b) comply with Customer’s reasonable requests regarding its efforts to oppose a Third Party Request; and (c) provide Customer with the information or tools required for Customer to respond to the Third Party Request. Customer will first seek to obtain the information required to respond to the Third Party Request on its own, and will contact Google only if it cannot reasonably obtain such information.
  3. Requesting End User Accounts; Service Term. Requesting End User Accounts, as well as initial and renewal terms for the Services, are to be decided upon between Customer and Reseller.
  4. Payment.Customer will pay Reseller for the Services. As a result, all payment terms are to be decided upon between Customer and Reseller.
  5. Technical Support Services.
    • 5.1 By Customer. Customer or Reseller will, at its own expense, respond to questions and complaints from End Users or third parties relating to Customer's or End Users' use of the Services. Customer or Reseller will use commercially reasonable efforts to resolve support issues before escalating them to Google.
    • 5.2 By Google. If Customer or Reseller cannot resolve a support issue consistent with the above, then Customer or Reseller (as applicable based on the agreement between Google and Reseller) may escalate the issue to Google in accordance with the TSS Guidelines. Google will provide TSS to Customer or Reseller (as applicable) in accordance with the TSS Guidelines.
  6. Suspension.
    • 6.1 Of End User Accounts by Google. If Google becomes aware of an End User's violation of the Agreement, then Google may specifically request that Customer Suspend the applicable End User Account. If Customer fails to comply with Google's request to Suspend an End User Account, then Google may do so. The duration of any Suspension by Google will be until the applicable End User has cured the breach which caused the Suspension.
    • 6.2 Emergency Security Issues. Notwithstanding the foregoing, if there is an Emergency Security Issue, then Google may automatically Suspend the offending use. Suspension will be to the minimum extent and of the minimum duration required to prevent or terminate the Emergency Security Issue. If Google suspends an End User Account for any reason without prior notice to Customer, at Customer's request, Google will provide Customer the reason for the Suspension as soon as is reasonably possible.
  7. Confidential Information.
    • 7.1 Obligations. Each party will: (a) protect the other party's Confidential Information with the same standard of care it uses to protect its own Confidential Information; and (b) not disclose the Confidential Information, except to Affiliates, employees and agents who need to know it and who have agreed in writing to keep it confidential. Each party (and any Affiliates, employees and agents to whom it has disclosed Confidential Information) may use Confidential Information only to exercise rights and fulfill its obligations under this Agreement, while using reasonable care to protect it. Each party is responsible for any actions of its Affiliates, employees and agents in violation of this Section.
    • 7.2 Exceptions. Confidential Information does not include information that: (a) the recipient of the Confidential Information already knew; (b) becomes public through no fault of the recipient; (c) was independently developed by the recipient; or (d) was rightfully given to the recipient by another party.
    • 7.3 Required Disclosure. Each party may disclose the other party's Confidential Information when required by law but only after it, if legally permissible: (a) uses commercially reasonable efforts to notify the other party; and (b) gives the other party the chance to challenge the disclosure.
  8. Intellectual Property Rights; Brand Features.
    • 8.1 Intellectual Property Rights. Except as expressly set forth herein, this Agreement does not grant either party any rights, implied or otherwise, to the other's content or any of the other's intellectual property. As between the parties, Customer owns all Intellectual Property Rights in Customer Data, and Google owns all Intellectual Property Rights in the Services.
    • 8.2 Display of Brand Features. Google may display only those Customer Brand Features authorized by Customer (such authorization is provided by Customer uploading its Brand Features into the Services), and only within designated areas of the Service Pages. Customer may specify the nature of this use using the Admin Console. Google may also display Google Brand Features on the Service Pages to indicate that the Services are provided by Google. Neither party may display or use the other party's Brand Features beyond what is allowed in this Agreement without the other party's prior written consent.
    • 8.3 Brand Features Limitation. Any use of a party's Brand Features will inure to the benefit of the party holding Intellectual Property Rights in those Brand Features. A party may revoke the other party's right to use its Brand Features pursuant to this Agreement with written notice to the other and a reasonable period to stop the use.
  9. Publicity. Customer agrees that Google may include Customer’s name or Brand Features in a list of Google customers, online or in promotional materials. Customer also agrees that Google may verbally reference Customer as a customer of the Google products or services that are the subject of this Agreement. This section is subject to Section 8.3.
  10. Representations, Warranties and Disclaimers.
    • 10.1 Representations and Warranties. Each party represents that it has full power and authority to enter into the Agreement. Each party warrants that it will comply with all laws and regulations applicable to its provision, or use, of the Services, as applicable (including applicable security breach notification law). Google warrants that it will provide the Services in accordance with the applicable SLA.
    • 10.2 Disclaimers. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NONINFRINGEMENT. GOOGLE MAKES NO REPRESENTATIONS ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY OR THROUGH THE SERVICES. CUSTOMER ACKNOWLEDGES THAT THE SERVICES ARE NOT A TELEPHONY SERVICE AND THAT THE SERVICES ARE NOT CAPABLE OF PLACING OR RECEIVING ANY CALLS, INCLUDING EMERGENCY SERVICES CALLS, OVER PUBLICLY SWITCHED TELEPHONE NETWORKS.
  11. Term and Termination.
    • 11.1 Term. The term for the Services will be as decided upon between Reseller and Customer. This Agreement will remain in effect for the Term.
    • 11.2 Termination for Breach. Either party may suspend performance or terminate this Agreement if: (i) the other party is in material breach of the Agreement and fails to cure that breach within thirty days after receipt of written notice; (ii) the other party ceases its business operations or becomes subject to insolvency proceedings and the proceedings are not dismissed within ninety days; or (iii) the other party is in material breach of this Agreement more than two times notwithstanding any cure of such breaches.
    • 11.3 Effects of Termination. If this Agreement terminates, then: (i) the rights granted by one party to the other will cease immediately (except as set forth in this Section); (ii) Google will provide Customer or Reseller access to, and the ability to export, the Customer Data for a commercially reasonable period of time at Google's then-current rates for the applicable Services; (iii) after a commercially reasonable period of time, Google will delete Customer Data by removing pointers to it on Google's active and replication servers and overwriting it over time; and (iv) upon request each party will promptly use commercially reasonable efforts to return or destroy all other Confidential Information of the other party.
  12. Indemnification.
    • 12.1 By Customer. Customer will indemnify, defend, and hold harmless Google from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim: (i) regarding Customer Data or Customer Domain Names; (ii) that Customer Brand Features infringe or misappropriate any patent, copyright, trade secret or trademark of a third party; or (iii) regarding Customer's use of the Services in violation of the Acceptable Use Policy.
    • 12.2 By Google. Google will indemnify, defend, and hold harmless Customer from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim that Google's technology used to provide the Services or any Google Brand Feature infringe or misappropriate any patent, copyright, trade secret or trademark of such third party. Notwithstanding the foregoing, in no event shall Google have any obligations or liability under this Section arising from: (i) use of any Services or Google Brand Features in a modified form or in combination with materials not furnished by Google, and (ii) any content, information or data provided by Customer, End Users or other third parties.
    • 12.3 Possible Infringement.
      • a. Repair, Replace, or Modify. If Google reasonably believes the Services infringe a third party's Intellectual Property Rights, then Google will: (a) obtain the right for Customer, at Google's expense, to continue using the Services; (b) provide a non-infringing functionally equivalent replacement; or (c) modify the Services so that they no longer infringe.
      • b. Suspension or Termination. If Google does not believe the foregoing options are commercially reasonable, then Google may suspend or terminate Customer's use of the impacted Services. If Google terminates the impacted Services, then Google will notify Customer or Reseller, or both.
    • 12.4 General. The party seeking indemnification will promptly notify the other party of the claim and cooperate with the other party in defending the claim. The indemnifying party has full control and authority over the defense, except that: (a) any settlement requiring the party seeking indemnification to admit liability or to pay any money will require that party's prior written consent, such consent not to be unreasonably withheld or delayed; and (b) the other party may join in the defense with its own counsel at its own expense. THE INDEMNITIES ABOVE ARE A PARTY'S ONLY REMEDY UNDER THIS AGREEMENT FOR VIOLATION BY THE OTHER PARTY OF A THIRD PARTY'S INTELLECTUAL PROPERTY RIGHTS.
  13. Limitation of Liability.
    • 13.1 Limitation on Indirect Liability. NEITHER PARTY WILL BE LIABLE UNDER THIS AGREEMENT FOR LOST REVENUES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF THE PARTY KNEW OR SHOULD HAVE KNOWN THAT SUCH DAMAGES WERE POSSIBLE AND EVEN IF DIRECT DAMAGES DO NOT SATISFY A REMEDY.
    • 13.2 Limitation on Amount of Liability. NEITHER PARTY MAY BE HELD LIABLE UNDER THIS AGREEMENT FOR MORE THAN THE AMOUNT PAID BY CUSTOMER TO RESELLER FOR THE SERVICES DURING THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
    • 13.3 Exceptions to Limitations. These limitations of liability apply to the fullest extent permitted by applicable law but do not apply to breaches of confidentiality obligations, violations of a party's Intellectual Property Rights by the other party, or indemnification obligations.
  14. Miscellaneous.
    • 14.1 Notices. Unless specified otherwise herein, (a) all notices must be in writing and addressed to the attention of the other party's legal department and primary point of contact and (b)notice will be deemed given: (i) when verified by written receipt if sent by personal courier, overnight courier, or when received if sent by mail without verification of receipt; or (ii) when verified by automated receipt or electronic logs if sent by facsimile or email.
    • 14.2 Assignment. Neither party may assign or transfer any part of this Agreement without the written consent of the other party, except to an Affiliate, but only if: (a) the assignee agrees in writing to be bound by the terms of this Agreement; and (b) the assigning party remains liable for obligations incurred under the Agreement prior to the assignment. Any other attempt to transfer or assign is void.
    • 14.3 Change of Control. Upon a change of control (for example, through a stock purchase or sale, merger, or other form of corporate transaction): (a) the party experiencing the change of control will provide written notice to the other party within thirty days after the change of control; and (b) the other party may immediately terminate this Agreement any time between the change of control and thirty days after it receives the written notice in subsection (a).
    • 14.4 Force Majeure. Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party's reasonable control.
    • 14.5 No Waiver. Failure to enforce any provision of this Agreement will not constitute a waiver.
    • 14.6 Severability. If any provision of this Agreement is found unenforceable, the balance of the Agreement will remain in full force and effect.
    • 14.7 No Agency. The parties are independent contractors, and this Agreement does not create an agency, partnership or joint venture.
    • 14.8 No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement.
    • 14.9 Equitable Relief. Nothing in this Agreement will limit either party's ability to seek equitable relief.
    • 14.10 Governing Law. This Agreement is governed by California law, excluding that state's choice of law rules. FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PARTIES CONSENT TO PERSONAL JURISDICTION IN, AND THE EXCLUSIVE VENUE OF, THE COURTS IN SANTA CLARA COUNTY, CALIFORNIA.
    • 14.11 Amendments. Any amendment must be in writing and expressly state that it is amending this Agreement.
    • 14.12 Survival. The following sections will survive expiration or termination of this Agreement: Section 7, 8.1, 12.3, 13, 14, 15 and 16.
    • 14.13 Entire Agreement. This Agreement, and all documents referenced herein, is the parties' entire agreement relating to its subject and supersedes any prior or contemporaneous agreements on that subject. The terms located at a URL and referenced in this Agreement are hereby incorporated by this reference.
    • 14.14 Interpretation of Conflicting Terms. If there is a conflict between the documents that make up this Agreement, the documents will control in the following order: the Agreement, and the terms located at any URL.
    • 14.15 Counterparts. The parties may enter into this Agreement in counterparts, including facsimile, PDF or other electronic copies, which taken together will constitute one instrument.
  15. G Suite Core Services. If Customer purchases the G Suite Core Services, then the following terms will apply only to such Services:
    • 15.1 Ads. The default setting for the Services is one that does not allow Google to serve Ads. Customer or Reseller may change this setting in the Admin Console, which constitutes Customer’s authorization for Google to serve Ads. If Customer or Reseller enables the serving of Ads, it may revert to the default setting at any time and Google will cease serving Ads.
    • 15.2 Aliases. Customer is solely responsible for monitoring, responding to, and otherwise processing emails sent to the “abuse” and “postmaster” aliases for Customer Domain Names but Google may monitor emails sent to these aliases for Customer Domain Names to allow Google to identify Services abuse.
    • 15.3 Google Vault. If Customer purchases Google Vault, the following additional terms apply:
      • a. Retention. Google will have no obligation to retain any archived Customer Data beyond the retention period specified by Customer (other than for any legal holds). If Customer does not renew Google Vault, Google will have no obligation to retain any archived Customer Data.
  16. Definitions.
    • "Acceptable Use Policy" means the acceptable use policy for the Services available at https://www.google.com/a/help/intl/en/admins/use_policy.html or such other URL as Google may provide.
    • "Admin Account" means the administrative account(s) provided to Customer by Google, or to Reseller by Customer, for the purpose of administering the Services. The use of the Admin Account(s) requires a password, which Google will provide to Customer or Reseller.
    • "Admin Console" means the online tool provided by Google to Customer for use in reporting and certain other administration functions.
    • "Administrators" mean the Customer-designated technical personnel who administer the Services to End Users on Customer's behalf.
    • "Ads" means online advertisements displayed by Google to End Users.
    • "AdWords Guidelines" means the Google AdWords Editorial Guidelines located at https://adwords.google.com/select/guidelines.html or other such URL as may be provided by Google.
    • "Affiliate" any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
    • "Brand Features" means the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each party, respectively, as secured by such party from time to time.
    • "Confidential Information" means information disclosed by a party to the other party under this Agreement that is marked as confidential or would normally be considered confidential under the circumstances. Customer Data is Customer's Confidential Information.
    • "Customer Data" means data, including email, provided, generated, transmitted or displayed via the Services by Customer, or Reseller on behalf of Customer.
    • "Customer Domain Names" mean the domain names owned or controlled by Customer, which will be used in connection with the Services.
    • "Domain Service" means a service provided by Google to Customer purely for Customer's convenience, where Customer may, through a Google-provided interface, register domain names through, or transfer domain names to, Registrar Partners (as defined in the Domain Service Terms).
    • "Domain Service Terms" means the terms at: https://www.google.com/a/help/intl/en/admins/domain_service_terms.html, or other such URL as may be provided by Google.
    • "Emergency Security Issue" means either: (a) an End User's use of the Services in violation of the Acceptable Use Policy, which could disrupt: (i) the Services; (ii) other End Users' use of the Services; or (iii) the Google network or servers used to provide the Services; or (b) unauthorized third party access to the Services.
    • "End Users" means the individuals Customer permits to use the Services.
    • "End User Account" means a Google-hosted account established by Customer through the Services for an End User.
    • "Export Control Laws" means all applicable export and reexport control laws and regulations, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations ("ITAR") maintained by the Department of State.
    • "G Suite Core Services" means the applicable Services (e.g. G Suite Premier Edition or G Suite and Google Vault) purchased by Customer from Reseller which are more fully described here: https://www.google.com/apps/intl/en/terms/user_features.html , or other such URL as Google may provide.
    • "Help Center" means the Google help center accessible at https://www.google.com/support/ or other such URL as Google may provide.
    • "High Risk Activities" means uses such as the operation of nuclear facilities, air traffic control, or life support systems, where the failure of the Services could lead to death, personal injury, or environmental damage.
    • "HIPAA" means the Health Insurance Portability and Accountability Act of 1996, as may be amended from time to time, and any regulations issued thereunder.
    • "Intellectual Property Rights" means current and future worldwide rights under patent law, copyright law, trade secret law, trademark law, moral rights law, and other similar rights.
    • "Non-G Suite Products" means Google products which are not part of the Services, but which may be accessed by End Users using their End User Account login and password. The Non-G Suite Products are set forth at the following URL: https://www.google.com/support/a/bin/answer.py?hl=en&answer=181865, or such other URL as Google may provide.
    • "Non-G Suite Product Terms" means the terms found at the following URL: https://www.google.com/apps/intl/en/terms/additional_services.html , or such other URL as Google may provide from time to time.
    • "Notification Email Address" means the email address designated by Customer to receive email notifications from Google. Customer may provide a Reseller email address for this purpose if it so chooses. Customer may change this email address through the Admin Console.
    • "Reseller" means the G Suite reseller Customer is paying to provide access to and use of the Services.
    • "SDN List" is the US Treasury Department's List of Specially Designated Nationals.
    • "Service Pages" mean the web pages displaying the Services to End Users.
    • "Services" means the G Suite Core Services provided by Google and used by Customer under this Agreement. The Services are as described here: https://www.google.com/apps/intl/en/terms/user_features.html, or other such URL as Google may provide.
    • "SLA" means the Service Level Agreement located here: https://www.google.com/apps/intl/en/terms/reseller_sla.html, or such other URL as Google may provide from time to time.
    • "Suspend" means the immediate disabling of access to the Services, or components of the Services, as applicable, to prevent further use of the Services.
    • "Term" means the term of the Agreement, which will begin on the Effective Date and continue for as long as Customer is receiving Services from Google, unless terminated earlier pursuant to the Agreement, or pursuant to Customer's agreement with Reseller.
    • "Third Party Request" means a request from a third party for records relating to an End User's use of the Services. Third Party Requests can be a lawful search warrant, court order, subpoena, other valid legal order, or written consent from the End User permitting the disclosure.
    • "TSS" means the technical support services provided by Google to the Administrators during the Term pursuant to the TSS Guidelines.
    • "TSS Guidelines" means Google's technical support services guidelines then in effect for the Services. TSS Guidelines are at the following URL: https://www.google.com/a/help/intl/en/admins/tssg.html or such other URL as Google may provide.
    • "URL Terms" means the Acceptable Use Policy, the SLA and the TSS Guidelines.

ĐIỀU 2: PHÍ VÀ ĐIỀU KHOẢN THANH TOÁN (ARTICLE 2: FEES AND TERMS OF PAYMENT)
2.1 Phí dịch vụ (Service fee)
Phí dịch vụ được đề cập cụ thể theo từng Hóa đơn dịch vụ do bên B cấp phát theo số lần phát sinh của bên A. Hóa đơn dịch vụ là một phần không thể tách rời của hợp đồng.
Service fee is specifically mentioned according to each service invoice issued by Party B according to the number of arising of Party A. Service Invoice is an integral part of the contract.
Trong trường hợp nhu cầu sử dụng nhiều hơn số lượng mà bên A đã đăng ký và thanh toán. Bên A có trách nhiệm thanh toán cho bên B trong vòng 7 ngày kể từ khi phát hành.
(In case the demand uses more than the amount that Party A has registered and paid. Party A shall pay Party B within 7 days from the date of issuance.)
Phí được đề cập trong hóa đơn dịch vụ đầu tiên của chu kỳ hợp đồng được áp dụng cho đến khi có sự thay đổi về chính sách phí của Google và tỉ giá VNĐ/USD. Trong trường hợp có sự thay đổi về chính sách phí bên B sẽ thông tin cho bên A khi nhận được thông báo của Google. 
(The fee mentioned in the first Service Invoice of the contract cycle is applied until there is a change in Google's fee policy and VND / USD exchange rate. In case of any change in Party B's fee policy, Party A will inform Party A when receiving a notice from Google.)
2.2 Phương thức thanh toán (Payment method)
Bên A thực hiện ký kết hợp đồng, gửi về địa chỉ giao dịch bên B và tiến hành thanh toán cho Bên B theo nội dung nêu trên hợp đồng trong vòng 05 ngày làm việc kể từ ngày ký hợp đồng. Khi nhận được thanh toán và hợp đồng Bên B cung cấp hóa đơn điện tử hợp lệ cùng với hợp đồng cho bên A.
 (Party A signing the contract and send it to party B and make the payment follow content of contract in five workdays. When receive contract and payment, Party B send  valid invoice and contract to party A.)
ĐIỀU 3: TRÁCH NHIỆM BÊN A (ARTICLE 3: RESPONSIBILITIES OF PARTY A)
3.1 Cung cấp đầy đủ thông tin liên quan đến việc khởi tạo dịch vụ G Suite cho Bên B trong vòng 03 (ba) ngày làm việc kể từ ngày Hợp đồng ký kết để Bên B tiến hành khởi tạo/chuyển đổi.
 (Provide sufficient information as requested by Party B within 03 (three) working days from the date of contract signing to Party B carry out the contract)
3.2 Chịu trách nhiệm về nội dung thông tin đưa lên hệ thống G Suite, đảm bảo các thông tin này không chứa các phần mềm phá hoại và không trái với đạo đức xã hội.
(Responsible for the content of information posted on the G Suite system, ensure that information does not contain malicious software and is not contrary to social morality.)
3.3 Không sử dụng dịch vụ của Bên B cung cấp cho mục đích SpamMail(gửi thư rác). Trường hợp Bên A vi phạm, Bên A hoàn toàn tự mình chịu trách nhiệm. 
(Do not use the services provided by Party B for the SpamMail purpose (spammers).)
3.4 Có trách nhiệm bảo mật quyền đăng nhập vào Hệ thống quản trị email tại máy trạm(Outlook, Thunderbird,...), tài khoản email( tài khoản email của người sử dụng), các tài khoản group mail do Bên B cấp để đảm bảo tính bảo mật cho tổ chức. Trường hợp bên A sử dụng hoặc cung cấp cho bên thứ ba (ngoài hợp đồng này) quyền đăng nhập vào hệ thống để thực hiện các hành vi vi phạm pháp luật thì Bên A hoàn toàn chịu trách nhiệm.
(Security shall have the right to log into the system administrator in client email (Outlook, Thunderbird, ...), e-mail accounts (e-mail accounts of the user), the mail account provided by Party B-level group to ensure the security of the organization. Where the A used or provided to third parties (other than this Agreement) right to log into the system to perform legal acts, Party A totally responsible.)
3.5 Chịu trách nhiệm quản lý nội dung các thư điện tử được gửi đi từ hộp thư trong tài khoản của Bên A.
(Responsible for managing the content of email messages sent from the mailbox in the account of Party A.)
3.6 Tuân thủ theo đúng các quy định của Nhà nước về sử dụng dịch vụ Internet, quyền sở hữu công nghiệp, bản quyền phần mềm cài đặt trên máy tính để sử dụng mail( nếu có), bí mật quốc gia, an ninh, văn hóa.
(Compliance with the provisions of the State on the use of Internet services, industrial property rights, copyright software installed on your computer to use the mail (if available), state secrets, security, document chemistry.)
3.7 Thanh toán đầy đủ và đúng hạn các khoản đã được nêu trong Điều 1 và Điều 2 của Hợp đồng này sau khi nghiệm thu dịch vụ.
(Payment in full and on time the amounts stated in Article 1 and Article 2 of this contract after the service inspectation.)
3.8 Đảm bảo người đại diện ký hợp đồng này là người có quyền hoặc đã được ủy quyền của Bên A để ký hợp đồng, chứng từ.
(Ensuring representatives to sign this contract shall have the right or have been authorized by Party A to a contract, document.)
3.9 Trong trường hợp bên A thanh toán không thanh toán đúng hạn nêu trên, bên A sẽ chịu trách nhiệm về phần phí nợ quá hạn được quy định tại Điều 306 Luật Thương mại năm 2005 tương đương 2%/tháng/nợ chưa thanh toán.
(In case Party A does not make the payment intime, party A have to pay additional overdue fee 2%/month/ unpaid fee.)

ĐIỀU 4: TRÁCH NHIỆM CỦA BÊN B (ARTICLE 4: RESPONSIBILITIES OF PARTY B)
4.1 Cung cấp dịch vụ theo đúng nội dung đã thoả thuận tại Điều 1 của Hợp đồng này và bảo đảm chất lượng dịch vụ theo đúng các quy định về người dùng của Google theo thỏa thuận về điều khoản cung cấp dịch vụ giữa bên B và Google theo nội dung được đề cập ở liên kết trong thời gian 3 ngày sau khi ký kết:

4.2 Cung cấp hóa đơn tài chính sau khi bên A thanh toán theo thời gian cung cấp dịch vụ và kỳ hạn thu phí đã ghi tại mục 1.4 và 1.5 điều 1 của hợp đồng này.

4.3 Hướng dẫn Bên A thực hiện đúng quy trình khai thác dịch vụ và các quy định pháp luật hiện hành.

4.4 Tuân thủ các quy định pháp luật về quyền sở hữu công nghiệp, bản quyền.
(Compliance with legislation on industrial property rights and copyrights.)
4.5 Cam kết không tiết lộ bất kỳ thông tin về tài khoản của bên A trong bất kỳ trường hợp hay mục đích nào.
(Undertake not to disclose any information about the account of Party A in any case or any purpose.)
4.6 Hỗ trợ kỹ thuật: Công ty TNHH MTV Việt Nis - Hotline 19001254, Email hỗ trợ: support@vietnis.com. Khi gặp các vấn đề cần hỗ trợ về kỹ thuật Bên A có thể gọi điện hoặc gửi email cho Bên B:
(Technical Support: Viet NIS Co, Ltd – Hotline 19001254, Support through email: support@vietnis.com. The problem that customer need technical assistance, party A can call directly or send email to party B follow:
4.6.1 Đối với các vấn đề hỗ trợ kỹ thuật mang tính chất cá nhân không thuộc hệ thống G Suite: Bên B sẽ hỗ trợ sớm nhất trong điều kiện cho phép.
(With the technical problem relate to personal which not in G Suite services: party B will support as soon as possible depending on time and that problem)
4.6.2 Đối với các vấn đề hỗ trợ kỹ thuật thuộc hệ thống G Suite: Bên B sẽ đưa ra phương án cụ thể cho Bên A và tiến hành giải quyết khi nhận được thông tin yêu cầu hỗ trợ.
(With the technical problem relate to G Suite services: Party B will provide the specific solution for party A and proceed when part B receive the information)

ĐIỀU 5: TẠM NGỪNG DỊCH VỤ VÀ ĐƠN PHƯƠNG CHẤM DỨT HỢP ĐỒNG
(ARTICLE 5: SUSPEND THE SERVICE AND UNILATERAL TERMINATION OF CONTRACT)
5.1 Dịch vụ được tạm ngừng trong các trường hợp sau:
(Service is suspended in the following cases)
5.1.1 Khi nhận được yêu cầu bằng văn bản của Bên A. 
(Upon receiving a request in writing by Party A. )
5.1.2 Bên A  vi phạm các điều  khoản đã cam kết trong Hợp đồng.
(Party A violate the terms of the contract commitment)
5.1.3 Bên A dùng email vào bất kì mục đích/hình thức nào trái với quy định của pháp luật Việt Nam.
(Party A to any email user purpose/way to the provisions of the law of Vietnam.)
5.1.4 Bên A lưu trữ, truyền bá các dữ liệu cấu thành hoặc khuyến khích các hình thức phạm tội; hoặc các dữ liệu mang tính vi phạm luật sáng chế, nhãn hiệu, quyền thiết kế, bản quyền hay bất kì quyền sở hữu trí tuệ hoặc bất kỳ quy định nào khác của pháp luật.
(Party A store, transmit the data constituting or encouraging forms of crime; identifiable data or violate patent law, trademark, design right, copyright or any intellectual property rights or any other provision of law.)
5.1.5 Bên A sử dụng email của mình để gửi thư rác. (Party A to use your email to spammers.)
5.1.6 Bên A không thanh toán các chi phí đầy đủ và đúng hạn theo quy định tại điều 2 Hợp đồng này.
(Party A fails to pay the full cost and on time as stipulated in Article 1 and Article 2 of this contract)
5.1.7 Trường hợp có yêu cầu của cơ quan Nhà nước có thẩm quyền; hoặc trường hợp Bất khả kháng theo quy định tại Điều 6 dưới đây. Trường hợp này, Bên B không có trách nhiệm thông báo trước cho Bên A.
(Where the request of the State agency authorized; or the case of force majeure as defined in Article 6 below. In this case, Party B has no responsibility prior notice to Party A.)
5.2 Bên B không có trách nhiệm thông báo cho Bên A và Bên A phải thanh toán phí thuê bao dịch vụ trong thời gian tạm ngừng dịch vụ theo quy định tại điều 5.1.2, điều 5.1.3, điều 5.1.4, điều 5.1.5, và điều 5.1.6 của Hợp đồng này. Dịch vụ chỉ được Bên B mở lại sau khi Bên A chấm dứt việc vi phạm các điều khoản quy định trong Hợp đồng này và nộp đầy đủ các khoản phí phát sinh do việc vi phạm.
(Party B has no responsibility to inform Party A and Party A must pay the subscription fee during the service suspension of service as stipulated in Article 5.1.2, which 5.1.3, which 5.1.4, clause 5.1 .5, and 5.1.6 of this Agreement. Services reopen only after Party B Party A cease violating the terms specified in this Agreement and fully pay charges arising out of the breach.)
5.3. Nếu hết thời hạn hợp đồng nêu trên mà hai Bên A không thông báo về việc chấm dứt hợp đồng thì hợp đồng tự động được gia hạn cho những năm tiếp theo.

5.4. Hợp đồng sẽ được chấm dứt khi: ( Contract will end if:)
5.4.1. Hai bên thỏa thuận chấm dứt hợp đồng. ( Two party agree to end contract)
5.4.2. Một bên vi phạm một hay nhiều điều khoản của hợp đồng. ( One party violates the terms of contract)
5.4.3. Cơ quan chức năng có thẩm quyền yêu cầu. ( Request of state agencies)
5.4.4. Việc chấm dứt hợp đồng phải được thực hiện bằng văn bản và trong vòng mười lăm (15) ngày, sau đó, Hai Bên phải thực hiện đầy đủ mọi trách nhiệm còn thiếu. ( The termination of contract must made in writing and finish in 15 days, after that, two party have to finish all the responsibility)
5.5. Hợp đồng chỉ được thanh lý sau khi hai bên đã thực hiện đầy đủ mọi trách nhiệm và ký biên bản thanh lý hợp đồng. (Contract only terminate when two party finish all the responsibility and sign the liquidation paper)

ĐIỀU 6: BẤT KHẢ KHÁNG (ARTICLE 6: MAJEURE)
6.1 Nếu một trong hai Bên chịu ảnh hưởng của các sự kiện bất khả kháng (như: thiên tai, địch họa, lũ lụt, bão, hoả hoạn, động đất hoặc các hiểm họa thiên tai khác; hoặc việc đình công hay can thiệp của Nhà nước; hay bất kỳ sự kiện nào khác xảy ra ngoài tầm kiểm soát của bất kỳ Bên nào và không thể lường trước được), thì được tạm hoãn thực hiện nghĩa vụ của hợp đồng, với điều kiện là Bên bị ảnh hưởng đó đã áp dụng mọi biện pháp cần thiết và có thể để ngăn ngừa, hạn chế hoặc khắc phục hậu quả của sự kiện đó.
(If either party affected by the event of force majeure (such as natural disasters, enemy sabotage, floods, storms, fires, earthquakes or other natural hazards; or strikes or intervention State, or any other events occurring outside the control of any Party and not foreseeable), then the postponed implementation of contractual obligations, on the condition that it affected Party applying all measures necessary and possible to prevent, limit or remedy the consequences of such events.)
6.2 Bên bị ảnh hưởng bới sự kiện bất khả kháng có nghĩa vụ thông báo cho bên còn. Trong trường hợp sự kiện bất khả kháng xảy ra, các Bên được miễn trách nhiệm bồi thường thiệt hại. 
(Parties affected by the force majeure event has the obligation to notify the other party. In case of force majeure event occurs, the party is exempt from liability to pay damages.)
6.3 Nếu sự kiện bất khả kháng không chấm dứt trong vòng 40 (bốn mươi) ngày làm việc hoặc một khoảng thời gian lâu hơn và vẫn tiếp tục ảnh hướng đến việc thực hiện Hợp đồng thì bên nào cũng có quyền đơn phương chấm dứt Hợp đồng và thông báo cho bên còn lại bằng văn bản trong vòng 10 (mười) ngày làm việc kể từ ngày dự định chấm dứt.
(If the event of force majeure does not terminate within 40 (forty) working days or a longer period of time and continue to affect the performance of the contract, the parties have the right to unilaterally terminate the contract and notify the other party in writing within 10 (ten) business days from the date of intended termination.)
6.4 Khi sự kiện bất khả kháng chấm dứt, các Bên sẽ tiếp tục thực hiện Hợp đồng nếu việc tiếp tục thực hiện Hợp đồng là có thể được.
(As events of force majeure termination, the parties shall continue to perform the contract if the continued implementation of the contract is possible.)
6.5 Khi Google chấm dứt dịch vụ đang cung cấp hoặc yêu cầu thanh toán.
(When Google terminate the service is provided or required payments.)

ĐIỀU 7: THỜI HẠN HỢP ĐỒNG (ARTICLE 7: DURATION OF CONTRACT)
7.1 Hợp đồng này có hiệu lực kể từ ngày ký và có thời hạn bằng với thời hạn cung cấp dịch vụ mục 1.4 điều 1 của hợp đồng này.
(The contract takes effect from the signing date and have the same duration with the time offer services in section 1.4 of article 1 of this contract)
7.2 Hợp đồng tiếp tục gia hạn khi bên A có nhu cầu và bên B vẫn có khả năng cung cấp dịch vụ. Trong vòng 10 ngày kể từ ngày hết hạn, bên A thanh toán cho bên B phí dịch vụ của kỳ tiếp theo sau khi hai bên thống nhất gia hạn hợp đồng.
( The contract automatic renew follow the need of party A and party till capable of provide the services. In 10 days of business from the expiration day, party A make the payment for party B the fees of services after the unification of both party to sign a renew contract)
7.3 Hợp đồng tự động thanh lý trong trường hợp hết hạn hiệu lực và bên A không tiếp tục sử dụng dịch vụ của bên B.
(The contract automatic liquidation in case contract expired and party A do not continue to use the services of party B)

ĐIỀU 8: ĐIỀU KHOẢN CHUNG (ARTICLE 8: GENERAL PROVISIONS)
    1. Hai Bên cam kết thực hiện đúng các điều khoản của Hợp đồng, Bên nào vi phạm sẽ phải chịu trách nhiệm theo quy định tại Hợp đồng và pháp luật.
(The two parties undertake to comply with the terms of contract, violating party shall be liable under the provisions of the contract and the law.)
    1. Trường hợp một Bên muốn thay đổi bất kỳ nội dung nào của Hợp đồng phải thông báo bằng văn bản cho Bên còn lại ít nhất trước 15 (mười lăm) ngày làm việc. Nếu Hai Bên thống nhất được nội dung thay đổi thì các thay đổi phải được lập bằng văn bản và được ký, đóng dấu hợp pháp của hai bên. Mọi chi phí phát sinh liên quan đến việc thay đổi nội dung Hợp đồng do Bên nào thì Bên đó có trách nhiệm thanh toán.

(All disputes arising during the implementation of this Agreement (if any) will be two sides negotiated settlement in a spirit of cooperation and mutual respect Where the two sides disagree, aggrieved party may initiate court proceedings, the court ruling is final and binding decision to abide by the Parties.)

G Suite via Reseller (Pupam) Agreement

This G Suite via Reseller Agreement (the "Agreement") is entered into by and between Google Inc., a Delaware corporation, with offices at 1600 Amphitheatre Parkway, Mountain View, California 94043 ("Google") and the entity agreeing to these terms ("Customer"). This Agreement is effective as of the date Customer clicks the "I Accept" button below (the "Effective Date"). If you are accepting on behalf of Customer, you represent and warrant that: (i) you have full legal authority to bind your employer, or the applicable entity, to these terms and conditions; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of the party that you represent, to this Agreement. If you do not have the legal authority to bind Customer, please do not click the "I Accept" button below. This Agreement governs Customer's access to and use of the Service.
  1. Services.
    • 1.1. Facilities and Data Transfer. All facilities used to store and process Customer Data will adhere to reasonable security standards no less protective than the security standards at facilities where Google stores and processes its own information of a similar type. Google has implemented at least industry standard systems and procedures to ensure the security and confidentiality of Customer Data, protect against anticipated threats or hazards to the security or integrity of Customer Data, and protect against unauthorized access to or use of Customer Data. As part of providing the Services, Google may transfer, store and process Customer Data in the United States or any other country in which Google or its agents maintain facilities. By using the Services, Customer consents to this transfer, processing and storage of Customer Data.
    • 1.2. Modifications.
      • a. To the Services. Google may make commercially reasonable changes to the Services, from time to time. If Google makes a material change to the Services, Google will inform Customer, provided that Customer has subscribed with Google to be informed about such change.
      • b. To URL Terms. Google may make commercially reasonable changes to the URL Terms from time to time. If Google makes a material change to the URL Terms, Google will inform Customer by either sending an email to the Notification Email Address or alerting Customer via the Admin Console, or will alert Reseller. If the change has a material adverse impact on Customer and Customer does not agree to the change, Customer must so notify Google via the Help Center within thirty days after receiving notice of the change. If Customer notifies Google as required, or Reseller notifies Google on Customer's behalf, then Customer will remain governed by the terms in effect immediately prior to the change until the end of the then-current term for the affected Services. If the affected Services are renewed, they will be renewed under Google's then current URL Terms.
    • 1.3. Customer Domain Name Ownership. Prior to providing the Services, Google or Reseller may verify that Customer owns or controls the Customer Domain Names. If Customer does not own, or control, the Customer Domain Names, then Google will have no obligation to provide Customer with the Services.
  2. Customer Obligations.
    • 2.1 Compliance. Customer will use the Services in accordance with the Acceptable Use Policy. Google may make new applications, features or functionality for the Services available from time to time, the use of which may be contingent upon Customer’s agreement to additional terms. In addition, Google will make other Non-G Suite Products (beyond the Services) available to Customer and its End Users in accordance with the Non-G Suite Product Terms and the applicable product-specific Google terms of service. If Customer does not desire to enable any of the Non-G Suite Products, Customer can enable or disable them at any time through the Admin Console. Customer agrees that its use of the Domain Service is subject to its compliance with the Domain Service Terms.
    • 2.2 Customer Administration of the Services. Customer may specify one or more Administrators through the Admin Console who will have the rights to access Admin Account(s) and to administer the End User Accounts. Customer and Reseller are responsible for: (a) maintaining the confidentiality of the password and Admin Account(s); (b) designating those individuals who are authorized to access the Admin Account(s); and (c) ensuring that all activities that occur in connection with the Admin Account(s) comply with the Agreement. Customer agrees that Google's responsibilities do not extend to the internal management or administration of the Services for Customer and that Google is merely a data-processor.
    • 2.3 End User Consent. Customer's Administrators may have the ability to access, monitor, use, or disclose data available to End Users within the End User Accounts. Customer will obtain and maintain all required consents from End Users to allow: (i) Customer's access, monitoring, use and disclosure of this data and Google providing Customer with the ability to do so, and (ii) Google to provide the Services.
    • 2.4 Unauthorized Use. Customer will use commercially reasonable efforts to prevent unauthorized use of the Services, and to terminate any unauthorized use. Customer or Reseller will promptly notify Google of any unauthorized use of, or access to, the Services of which it becomes aware.
    • 2.5 Restrictions on Use. Unless Google specifically agrees in writing, Customer will not, and will use commercially reasonable efforts to make sure a third party does not: (a) sell, resell, lease, or the functional equivalent, the Services to a third party(unless expressly authorized in this Agreement); (b) attempt to reverse engineer the Services or any component; (c) attempt to create a substitute or similar service through use of, or access to, the Services; (d) use the Services for High Risk Activities; or (e) use the Services to store or transfer any Customer Data that is controlled for export under Export Control Laws. Customer is solely responsible for any applicable compliance with HIPAA.
    • 2.6 Third Party Requests. Customer is responsible for responding to Third Party Requests. Google will, to the extent allowed by law and by the terms of the Third Party Request: (a) promptly notify Customer of its receipt of a Third Party Request; (b) comply with Customer’s reasonable requests regarding its efforts to oppose a Third Party Request; and (c) provide Customer with the information or tools required for Customer to respond to the Third Party Request. Customer will first seek to obtain the information required to respond to the Third Party Request on its own, and will contact Google only if it cannot reasonably obtain such information.
  3. Requesting End User Accounts; Service Term. Requesting End User Accounts, as well as initial and renewal terms for the Services, are to be decided upon between Customer and Reseller.
  4. Payment.Customer will pay Reseller for the Services. As a result, all payment terms are to be decided upon between Customer and Reseller.
  5. Technical Support Services.
    • 5.1 By Customer. Customer or Reseller will, at its own expense, respond to questions and complaints from End Users or third parties relating to Customer's or End Users' use of the Services. Customer or Reseller will use commercially reasonable efforts to resolve support issues before escalating them to Google.
    • 5.2 By Google. If Customer or Reseller cannot resolve a support issue consistent with the above, then Customer or Reseller (as applicable based on the agreement between Google and Reseller) may escalate the issue to Google in accordance with the TSS Guidelines. Google will provide TSS to Customer or Reseller (as applicable) in accordance with the TSS Guidelines.
  6. Suspension.
    • 6.1 Of End User Accounts by Google. If Google becomes aware of an End User's violation of the Agreement, then Google may specifically request that Customer Suspend the applicable End User Account. If Customer fails to comply with Google's request to Suspend an End User Account, then Google may do so. The duration of any Suspension by Google will be until the applicable End User has cured the breach which caused the Suspension.
    • 6.2 Emergency Security Issues. Notwithstanding the foregoing, if there is an Emergency Security Issue, then Google may automatically Suspend the offending use. Suspension will be to the minimum extent and of the minimum duration required to prevent or terminate the Emergency Security Issue. If Google suspends an End User Account for any reason without prior notice to Customer, at Customer's request, Google will provide Customer the reason for the Suspension as soon as is reasonably possible.
  7. Confidential Information.
    • 7.1 Obligations. Each party will: (a) protect the other party's Confidential Information with the same standard of care it uses to protect its own Confidential Information; and (b) not disclose the Confidential Information, except to Affiliates, employees and agents who need to know it and who have agreed in writing to keep it confidential. Each party (and any Affiliates, employees and agents to whom it has disclosed Confidential Information) may use Confidential Information only to exercise rights and fulfill its obligations under this Agreement, while using reasonable care to protect it. Each party is responsible for any actions of its Affiliates, employees and agents in violation of this Section.
    • 7.2 Exceptions. Confidential Information does not include information that: (a) the recipient of the Confidential Information already knew; (b) becomes public through no fault of the recipient; (c) was independently developed by the recipient; or (d) was rightfully given to the recipient by another party.
    • 7.3 Required Disclosure. Each party may disclose the other party's Confidential Information when required by law but only after it, if legally permissible: (a) uses commercially reasonable efforts to notify the other party; and (b) gives the other party the chance to challenge the disclosure.
  8. Intellectual Property Rights; Brand Features.
    • 8.1 Intellectual Property Rights. Except as expressly set forth herein, this Agreement does not grant either party any rights, implied or otherwise, to the other's content or any of the other's intellectual property. As between the parties, Customer owns all Intellectual Property Rights in Customer Data, and Google owns all Intellectual Property Rights in the Services.
    • 8.2 Display of Brand Features. Google may display only those Customer Brand Features authorized by Customer (such authorization is provided by Customer uploading its Brand Features into the Services), and only within designated areas of the Service Pages. Customer may specify the nature of this use using the Admin Console. Google may also display Google Brand Features on the Service Pages to indicate that the Services are provided by Google. Neither party may display or use the other party's Brand Features beyond what is allowed in this Agreement without the other party's prior written consent.
    • 8.3 Brand Features Limitation. Any use of a party's Brand Features will inure to the benefit of the party holding Intellectual Property Rights in those Brand Features. A party may revoke the other party's right to use its Brand Features pursuant to this Agreement with written notice to the other and a reasonable period to stop the use.
  9. Publicity. Customer agrees that Google may include Customer’s name or Brand Features in a list of Google customers, online or in promotional materials. Customer also agrees that Google may verbally reference Customer as a customer of the Google products or services that are the subject of this Agreement. This section is subject to Section 8.3.
  10. Representations, Warranties and Disclaimers.
    • 10.1 Representations and Warranties. Each party represents that it has full power and authority to enter into the Agreement. Each party warrants that it will comply with all laws and regulations applicable to its provision, or use, of the Services, as applicable (including applicable security breach notification law). Google warrants that it will provide the Services in accordance with the applicable SLA.
    • 10.2 Disclaimers. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NONINFRINGEMENT. GOOGLE MAKES NO REPRESENTATIONS ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY OR THROUGH THE SERVICES. CUSTOMER ACKNOWLEDGES THAT THE SERVICES ARE NOT A TELEPHONY SERVICE AND THAT THE SERVICES ARE NOT CAPABLE OF PLACING OR RECEIVING ANY CALLS, INCLUDING EMERGENCY SERVICES CALLS, OVER PUBLICLY SWITCHED TELEPHONE NETWORKS.
  11. Term and Termination.
    • 11.1 Term. The term for the Services will be as decided upon between Reseller and Customer. This Agreement will remain in effect for the Term.
    • 11.2 Termination for Breach. Either party may suspend performance or terminate this Agreement if: (i) the other party is in material breach of the Agreement and fails to cure that breach within thirty days after receipt of written notice; (ii) the other party ceases its business operations or becomes subject to insolvency proceedings and the proceedings are not dismissed within ninety days; or (iii) the other party is in material breach of this Agreement more than two times notwithstanding any cure of such breaches.
    • 11.3 Effects of Termination. If this Agreement terminates, then: (i) the rights granted by one party to the other will cease immediately (except as set forth in this Section); (ii) Google will provide Customer or Reseller access to, and the ability to export, the Customer Data for a commercially reasonable period of time at Google's then-current rates for the applicable Services; (iii) after a commercially reasonable period of time, Google will delete Customer Data by removing pointers to it on Google's active and replication servers and overwriting it over time; and (iv) upon request each party will promptly use commercially reasonable efforts to return or destroy all other Confidential Information of the other party.
  12. Indemnification.
    • 12.1 By Customer. Customer will indemnify, defend, and hold harmless Google from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim: (i) regarding Customer Data or Customer Domain Names; (ii) that Customer Brand Features infringe or misappropriate any patent, copyright, trade secret or trademark of a third party; or (iii) regarding Customer's use of the Services in violation of the Acceptable Use Policy.
    • 12.2 By Google. Google will indemnify, defend, and hold harmless Customer from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim that Google's technology used to provide the Services or any Google Brand Feature infringe or misappropriate any patent, copyright, trade secret or trademark of such third party. Notwithstanding the foregoing, in no event shall Google have any obligations or liability under this Section arising from: (i) use of any Services or Google Brand Features in a modified form or in combination with materials not furnished by Google, and (ii) any content, information or data provided by Customer, End Users or other third parties.
    • 12.3 Possible Infringement.
      • a. Repair, Replace, or Modify. If Google reasonably believes the Services infringe a third party's Intellectual Property Rights, then Google will: (a) obtain the right for Customer, at Google's expense, to continue using the Services; (b) provide a non-infringing functionally equivalent replacement; or (c) modify the Services so that they no longer infringe.
      • b. Suspension or Termination. If Google does not believe the foregoing options are commercially reasonable, then Google may suspend or terminate Customer's use of the impacted Services. If Google terminates the impacted Services, then Google will notify Customer or Reseller, or both.
    • 12.4 General. The party seeking indemnification will promptly notify the other party of the claim and cooperate with the other party in defending the claim. The indemnifying party has full control and authority over the defense, except that: (a) any settlement requiring the party seeking indemnification to admit liability or to pay any money will require that party's prior written consent, such consent not to be unreasonably withheld or delayed; and (b) the other party may join in the defense with its own counsel at its own expense. THE INDEMNITIES ABOVE ARE A PARTY'S ONLY REMEDY UNDER THIS AGREEMENT FOR VIOLATION BY THE OTHER PARTY OF A THIRD PARTY'S INTELLECTUAL PROPERTY RIGHTS.
  13. Limitation of Liability.
    • 13.1 Limitation on Indirect Liability. NEITHER PARTY WILL BE LIABLE UNDER THIS AGREEMENT FOR LOST REVENUES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF THE PARTY KNEW OR SHOULD HAVE KNOWN THAT SUCH DAMAGES WERE POSSIBLE AND EVEN IF DIRECT DAMAGES DO NOT SATISFY A REMEDY.
    • 13.2 Limitation on Amount of Liability. NEITHER PARTY MAY BE HELD LIABLE UNDER THIS AGREEMENT FOR MORE THAN THE AMOUNT PAID BY CUSTOMER TO RESELLER FOR THE SERVICES DURING THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
    • 13.3 Exceptions to Limitations. These limitations of liability apply to the fullest extent permitted by applicable law but do not apply to breaches of confidentiality obligations, violations of a party's Intellectual Property Rights by the other party, or indemnification obligations.
  14. Miscellaneous.
    • 14.1 Notices. Unless specified otherwise herein, (a) all notices must be in writing and addressed to the attention of the other party's legal department and primary point of contact and (b)notice will be deemed given: (i) when verified by written receipt if sent by personal courier, overnight courier, or when received if sent by mail without verification of receipt; or (ii) when verified by automated receipt or electronic logs if sent by facsimile or email.
    • 14.2 Assignment. Neither party may assign or transfer any part of this Agreement without the written consent of the other party, except to an Affiliate, but only if: (a) the assignee agrees in writing to be bound by the terms of this Agreement; and (b) the assigning party remains liable for obligations incurred under the Agreement prior to the assignment. Any other attempt to transfer or assign is void.
    • 14.3 Change of Control. Upon a change of control (for example, through a stock purchase or sale, merger, or other form of corporate transaction): (a) the party experiencing the change of control will provide written notice to the other party within thirty days after the change of control; and (b) the other party may immediately terminate this Agreement any time between the change of control and thirty days after it receives the written notice in subsection (a).
    • 14.4 Force Majeure. Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party's reasonable control.
    • 14.5 No Waiver. Failure to enforce any provision of this Agreement will not constitute a waiver.
    • 14.6 Severability. If any provision of this Agreement is found unenforceable, the balance of the Agreement will remain in full force and effect.
    • 14.7 No Agency. The parties are independent contractors, and this Agreement does not create an agency, partnership or joint venture.
    • 14.8 No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement.
    • 14.9 Equitable Relief. Nothing in this Agreement will limit either party's ability to seek equitable relief.
    • 14.10 Governing Law. This Agreement is governed by California law, excluding that state's choice of law rules. FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PARTIES CONSENT TO PERSONAL JURISDICTION IN, AND THE EXCLUSIVE VENUE OF, THE COURTS IN SANTA CLARA COUNTY, CALIFORNIA.
    • 14.11 Amendments. Any amendment must be in writing and expressly state that it is amending this Agreement.
    • 14.12 Survival. The following sections will survive expiration or termination of this Agreement: Section 7, 8.1, 12.3, 13, 14, 15 and 16.
    • 14.13 Entire Agreement. This Agreement, and all documents referenced herein, is the parties' entire agreement relating to its subject and supersedes any prior or contemporaneous agreements on that subject. The terms located at a URL and referenced in this Agreement are hereby incorporated by this reference.
    • 14.14 Interpretation of Conflicting Terms. If there is a conflict between the documents that make up this Agreement, the documents will control in the following order: the Agreement, and the terms located at any URL.
    • 14.15 Counterparts. The parties may enter into this Agreement in counterparts, including facsimile, PDF or other electronic copies, which taken together will constitute one instrument.
  15. G Suite Core Services. If Customer purchases the G Suite Core Services, then the following terms will apply only to such Services:
    • 15.1 Ads. The default setting for the Services is one that does not allow Google to serve Ads. Customer or Reseller may change this setting in the Admin Console, which constitutes Customer’s authorization for Google to serve Ads. If Customer or Reseller enables the serving of Ads, it may revert to the default setting at any time and Google will cease serving Ads.
    • 15.2 Aliases. Customer is solely responsible for monitoring, responding to, and otherwise processing emails sent to the “abuse” and “postmaster” aliases for Customer Domain Names but Google may monitor emails sent to these aliases for Customer Domain Names to allow Google to identify Services abuse.
    • 15.3 Google Vault. If Customer purchases Google Vault, the following additional terms apply:
      • a. Retention. Google will have no obligation to retain any archived Customer Data beyond the retention period specified by Customer (other than for any legal holds). If Customer does not renew Google Vault, Google will have no obligation to retain any archived Customer Data.
  16. Definitions.
    • "Acceptable Use Policy" means the acceptable use policy for the Services available at https://www.google.com/a/help/intl/en/admins/use_policy.html or such other URL as Google may provide.
    • "Admin Account" means the administrative account(s) provided to Customer by Google, or to Reseller by Customer, for the purpose of administering the Services. The use of the Admin Account(s) requires a password, which Google will provide to Customer or Reseller.
    • "Admin Console" means the online tool provided by Google to Customer for use in reporting and certain other administration functions.
    • "Administrators" mean the Customer-designated technical personnel who administer the Services to End Users on Customer's behalf.
    • "Ads" means online advertisements displayed by Google to End Users.
    • "AdWords Guidelines" means the Google AdWords Editorial Guidelines located at https://adwords.google.com/select/guidelines.html or other such URL as may be provided by Google.
    • "Affiliate" any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
    • "Brand Features" means the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each party, respectively, as secured by such party from time to time.
    • "Confidential Information" means information disclosed by a party to the other party under this Agreement that is marked as confidential or would normally be considered confidential under the circumstances. Customer Data is Customer's Confidential Information.
    • "Customer Data" means data, including email, provided, generated, transmitted or displayed via the Services by Customer, or Reseller on behalf of Customer.
    • "Customer Domain Names" mean the domain names owned or controlled by Customer, which will be used in connection with the Services.
    • "Domain Service" means a service provided by Google to Customer purely for Customer's convenience, where Customer may, through a Google-provided interface, register domain names through, or transfer domain names to, Registrar Partners (as defined in the Domain Service Terms).
    • "Domain Service Terms" means the terms at: https://www.google.com/a/help/intl/en/admins/domain_service_terms.html, or other such URL as may be provided by Google.
    • "Emergency Security Issue" means either: (a) an End User's use of the Services in violation of the Acceptable Use Policy, which could disrupt: (i) the Services; (ii) other End Users' use of the Services; or (iii) the Google network or servers used to provide the Services; or (b) unauthorized third party access to the Services.
    • "End Users" means the individuals Customer permits to use the Services.
    • "End User Account" means a Google-hosted account established by Customer through the Services for an End User.
    • "Export Control Laws" means all applicable export and reexport control laws and regulations, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations ("ITAR") maintained by the Department of State.
    • "G Suite Core Services" means the applicable Services (e.g. G Suite Premier Edition or G Suite and Google Vault) purchased by Customer from Reseller which are more fully described here: https://www.google.com/apps/intl/en/terms/user_features.html , or other such URL as Google may provide.
    • "Help Center" means the Google help center accessible at https://www.google.com/support/ or other such URL as Google may provide.
    • "High Risk Activities" means uses such as the operation of nuclear facilities, air traffic control, or life support systems, where the failure of the Services could lead to death, personal injury, or environmental damage.
    • "HIPAA" means the Health Insurance Portability and Accountability Act of 1996, as may be amended from time to time, and any regulations issued thereunder.
    • "Intellectual Property Rights" means current and future worldwide rights under patent law, copyright law, trade secret law, trademark law, moral rights law, and other similar rights.
    • "Non-G Suite Products" means Google products which are not part of the Services, but which may be accessed by End Users using their End User Account login and password. The Non-G Suite Products are set forth at the following URL: https://www.google.com/support/a/bin/answer.py?hl=en&answer=181865, or such other URL as Google may provide.
    • "Non-G Suite Product Terms" means the terms found at the following URL: https://www.google.com/apps/intl/en/terms/additional_services.html , or such other URL as Google may provide from time to time.
    • "Notification Email Address" means the email address designated by Customer to receive email notifications from Google. Customer may provide a Reseller email address for this purpose if it so chooses. Customer may change this email address through the Admin Console.
    • "Reseller" means the G Suite reseller Customer is paying to provide access to and use of the Services.
    • "SDN List" is the US Treasury Department's List of Specially Designated Nationals.
    • "Service Pages" mean the web pages displaying the Services to End Users.
    • "Services" means the G Suite Core Services provided by Google and used by Customer under this Agreement. The Services are as described here: https://www.google.com/apps/intl/en/terms/user_features.html, or other such URL as Google may provide.
    • "SLA" means the Service Level Agreement located here: https://www.google.com/apps/intl/en/terms/reseller_sla.html, or such other URL as Google may provide from time to time.
    • "Suspend" means the immediate disabling of access to the Services, or components of the Services, as applicable, to prevent further use of the Services.
    • "Term" means the term of the Agreement, which will begin on the Effective Date and continue for as long as Customer is receiving Services from Google, unless terminated earlier pursuant to the Agreement, or pursuant to Customer's agreement with Reseller.
    • "Third Party Request" means a request from a third party for records relating to an End User's use of the Services. Third Party Requests can be a lawful search warrant, court order, subpoena, other valid legal order, or written consent from the End User permitting the disclosure.
    • "TSS" means the technical support services provided by Google to the Administrators during the Term pursuant to the TSS Guidelines.
    • "TSS Guidelines" means Google's technical support services guidelines then in effect for the Services. TSS Guidelines are at the following URL: https://www.google.com/a/help/intl/en/admins/tssg.html or such other URL as Google may provide.
    • "URL Terms" means the Acceptable Use Policy, the SLA and the TSS Guidelines.
